What you can do:
- Sell Suburb Stack under your own branding, logo, and domain.
- Set your own retail prices and bill clients directly.
- Access bulk discounts based on the number of active websites you manage.
What you must do:
- Ensure that you and your clients comply with Suburb Stack’s Terms of Service.
- Monitor your clients’ activities to ensure they comply with all laws, ad platform policies, and our ToS.
- Provide your own client-facing support and communication under your brand.
What we will do:
- Not solicit your clients directly, unless they contact us first or request to move to Suburb Stack.
- Give you discounted partner rates and automatic discounts as your client base grows.
- Allow you to terminate the agreement at any time with 30 days’ written notice.
Key things to know:
- Fees are non-refundable except as required by law.
- If your clients don’t pay you, you’re still responsible for paying us.
- We may suspend or terminate your access immediately for breaches, prohibited uses, or reputational risks.
- You must indemnify us against client disputes, chargebacks, and any losses caused by your breach of the agreement.
FULL AGREEMENT
1. Branding & Whitelabel
1.1 You may represent Suburb Stack under your own branding, including using your own domain and logo, provided that your branding is not misleading and complies with applicable advertising and consumer laws.
1.2 You are fully responsible for all client-facing communication, billing, and support under your label.
1.3 You must not suggest to clients that you own or have developed the Suburb Stack platform. All representations must accurately describe the nature of the services being provided.
2. Non-Solicitation
2.1 We will not knowingly contact, solicit, or market directly to your clients, provided those clients were acquired through your whitelabel setup.
2.2 If a client independently contacts us, we will make reasonable efforts to redirect them to you, unless the client explicitly requests otherwise.
2.3 This clause does not prevent us from marketing our services publicly, accepting leads from public channels, or onboarding customers who were not introduced through your agency.
3. Revenue, Billing & Partner Rates
3.1 You are responsible for setting your own retail pricing and collecting payment from your clients.
3.2 Suburb Stack charges you directly based on your selected partner plan. Partner plan fees are non-refundable except as required by law and are subject to our Refund Policy.
3.3 Any non-payment by your clients does not relieve you of your payment obligations to Suburb Stack.
3.4 Bulk Discounts & Partner Rates:
- 0–4 websites: 5% discount on your total monthly partner fees
- 5–9 websites: 10% discount
- 10–14 websites: 15% discount
- 15+ websites: 20% discount
Discounts are applied automatically each billing cycle based on the number of active websites under your account.
4. Compliance & Use of Platform
4.1 You must ensure that your clients’ use of the platform complies with all applicable laws, advertising guidelines, and our Terms of Service (as amended from time to time).
4.2 Prohibited activities (e.g. illegal content, abusive behaviour, violation of ad platform policies, attempts to exploit the platform) are strictly forbidden and will result in immediate suspension or termination.
4.3 You are responsible for monitoring your clients’ activities on the platform and taking reasonable steps to prevent breaches.
4.4 You must immediately notify us if you become aware of any prohibited activity or suspected misuse by a client.
5. Flow-Down Obligation (Binding Clients to Our Terms)
5.1 You agree that your use of the Suburb Stack platform is subject to our then-current Terms of Service, which are incorporated into this Agreement by reference.
5.2 You must ensure that your clients are also bound by terms that are at least as protective of Suburb Stack as our Terms of Service, including restrictions on prohibited uses and data handling. The following clause (or substantially similar wording) must be included in all agreements with your clients:
Use of Suburb Stack Platform:
You acknowledge that our services are powered by the Suburb Stack platform. Your use of the platform is subject to Suburb Stack’s current Terms of Service, available at https://suburbstack.com/terms. By using the platform, you agree to be bound by those terms as they apply to end users.
5.3 In the event of a conflict between this Agreement and the Terms of Service, this Agreement will take precedence as it relates to your partner relationship with Suburb Stack.
6. Term & Termination
6.1 Either party may terminate this Agreement with 30 days’ written notice.
6.2 We may suspend or terminate this Agreement immediately if you or your clients:
- Engage in prohibited activities;
- Breach any provision of this Agreement or our Terms of Service;
- Are subject to regulatory investigation or legal action that could damage our reputation or business.
6.3 Upon termination:
- Your whitelabel access will be revoked.
- Your clients’ accounts may, at their request, be transferred directly to Suburb Stack (for continued service independent of you).
- All outstanding fees must be paid in full prior to account closure.
6.4 We may suspend your access (rather than terminate) if we believe it is necessary to investigate suspected breaches.
7. Liability & Indemnity
7.1 You agree to indemnify and hold Suburb Stack and its affiliates harmless against any claims, damages, losses, costs, or expenses (including legal fees) arising from:
- Your misrepresentation of the platform to clients;
- Any breach of this Agreement, our Terms of Service, or applicable laws;
- Any client disputes, refunds, chargebacks, or unpaid invoices.
7.2 To the extent permitted by law, Suburb Stack’s total aggregate liability to you is limited to the total amount of partner fees you paid to us in the preceding 12 months.
7.3 Nothing in this Agreement excludes liability for fraud, wilful misconduct, or liability that cannot be excluded by law.
8. Confidentiality
8.1 You must treat as confidential all non-public information relating to Suburb Stack’s technology, operations, and business.
8.2 This obligation continues for two (2) years after termination of this Agreement.
9. Governing Law
This Agreement is governed by the laws of Australia. Any disputes will be resolved exclusively in the courts of the state or territory in which you reside (if in Australia) or in New South Wales, Australia (if outside Australia).
10. Effective Date
This Agreement takes effect immediately upon activation of a Partner/Agency plan and remains in effect until terminated in accordance with Section 6.
